MAKATI CITY — Shareholders of AREIT, Inc. approved the infusion of six commercial assets valued at ₱17.3 billion on September 23, 2026, raising the real estate investment trust's assets under management to ₱177 billion. The move diversifies the portfolio into retail and hospitality while strengthening recurring income.
A Landmark Portfolio Expansion
The transaction involves Ayala Land, Inc. and its subsidiaries subscribing to 462,481,990 AREIT primary common shares at ₱37.48 per share. This exchange price represents a premium to AREIT's 30-day volume-weighted average price as of the board's approval on August 10, 2026. With shareholder approval secured, the transaction now moves to regulatory approval.
The infusion broadens AREIT's portfolio beyond its traditional office base. Six assets will be added: four malls and two hotels across Metro Manila and the Visayas. This strategic expansion strengthens exposure to established properties within ALI's portfolio, creating a more resilient and diversified income stream for investors.
Retail and Hospitality Take Center Stage
Retail and hospitality will together account for 41 percent of AREIT's post-swap assets under management, the highest share in the REIT's history. Offices will comprise 55 percent, retail 33 percent, hotels 8 percent, and land 4 percent. This rebalancing reduces reliance on office leasing amid shifting workplace trends.
AREIT President and CEO Alberto M. de Larrazabal said the infusion strengthens scale while introducing lease structures that allow direct participation in operating performance. The four malls will be held under direct leases, while the two hotels will operate under hybrid master leases combining fixed base rent with variable revenue-linked components.
Six Prime Assets Across Key Locations
The transaction includes Glorietta 4 in Makati City, Ayala Malls Capitol Central in Bacolod, Ayala Malls Circuit in Makati, and Ayala Malls Cloverleaf in Quezon City. These malls anchor vibrant commercial districts and complement AREIT's existing office presence in key markets.
The two hotels are New World Makati with 578 rooms and Seda Vertis North with 428 rooms. Both are established hospitality properties in prime locations. Glorietta 4 deepens AREIT's position in the reinvented Glorietta complex, where it already holds Glorietta 1 and 2. Ayala Malls Capitol Central serves as the retail centerpiece of ALI's Bacolod estate.
Financial Strength and Growth Outlook
The properties were independently appraised by Asian Appraisal, with valuation and exchange price supported by a fairness opinion from FTI Consulting. Income from the assets will begin accruing to AREIT upon securing Securities and Exchange Commission approval.
AREIT reported first-half 2026 total revenues of ₱7.7 billion and EBITDA of ₱5.8 billion, up 30 percent and 34 percent respectively year-on-year. Net income excluding fair value changes rose 36 percent to ₱5.8 billion. These figures underscore the REIT's strong financial position and capacity for sustainable dividend growth.
A Maturing REIT Market
The transaction signals broader trends in Philippine commercial real estate. REITs have traditionally relied on office buildings leased to BPO firms. By pushing retail and hospitality to 41 percent of assets, AREIT demonstrates how landlords are actively diversifying against office vacancies and hybrid work trends.
The adoption of hybrid master leases marks an evolution in how Philippine REITs generate income. Instead of relying solely on fixed rent, REITs can now capture upside from hotel occupancy and tourism spending. This innovation sets a precedent for other REIT issuers in the country, attracting larger institutional investors seeking liquid, dividend-yielding assets.
